Terms & Conditions (AGB)

1. GENERAL PROVISIONS

(1.1) These General Terms and Conditions (“Terms and Conditions”) apply to all contracts, deliveries, services, and use of the services provided by Marie-Therese Zieger, Karmelitergasse 7/1/1, 1020 Vienna (hereinafter referred to as “everyseason”), relating to the online shop located at “www.everyseason.xyz”. For third-party cooperation workshops, exclusively the General Terms and Conditions of the respective cooperation partners (“Cooperation Partners”) apply.

(1.2) These Terms and Conditions also apply to all future business relationships, even if not expressly agreed again, and upon the participant’s acceptance at the time of placing an order for all current and future orders. By placing an order, participants (“Participants”) confirm their legal capacity.

(1.3) The contractual language is English. The contract text will be stored.

(1.4) Place of jurisdiction is Vienna, Austria.

2. CONTRACT CONTENTS, CONCLUSION OF CONTRACT & WARRANTY

(2.1) everyseason offers free group sports activities (“Group Sports Events”) through the online shop, including but not limited to hiking, trekking, mountaineering, indoor bouldering, outdoor rock climbing, rope climbing, camping, trekking in remote areas, winter sports, water sports (including but not limited to snorkeling, swimming, diving, surfing, stand-up and paddleboarding), cycling, and boating on natural or artificial bodies of water. Scope, content, and dates of these Group Sports Events are available on the website www.everyseason.xyz, where the services and conditions are detailed.

(2.2) everyseason additionally offers the brokerage of workshops provided by third-party Cooperation Partners. This brokerage service is remunerated exclusively by the Cooperation Partners. The workshops are conducted solely by the Cooperation Partners as independent organizers, selected with due care by everyseason. The contract for participation in such workshops is concluded directly between the Participant and the respective Cooperation Partner. The performance of these workshops is not an obligation of everyseason. everyseason acts solely as an intermediary and has no influence over the terms of participation or execution of the workshops. For legal relationships between Participants and Cooperation Partners, only the Cooperation Partner’s own Terms and Conditions apply. Scope, content, dates, and fees of workshops and activities are available on www.everyseason.xyz.

(2.3) The website www.everyseason.xyz serves to inform users about and allow registration for free Group Sports Events or the purchase of tickets for third-party workshops. everyseason processes, manages, and forwards binding orders between Participants and Cooperation Partners.

(2.4) All content on this website has been created with the utmost care. However, no guarantee is given for accuracy, completeness, or timeliness.

(2.5) Cooperation Partners are responsible for their own service content. No influence can be exercised over external third-party website content, nor can any guarantee be provided for such content. Responsibility for linked websites always lies with the respective site operators. Linked pages were checked for legal violations at the time of linking; unlawful content was not recognizable at that time. Continuous monitoring of linked pages without specific indications of a violation is unreasonable. If legal violations become known, such links will be removed promptly.

(2.6) All offers on the website are subject to change and valid while supplies last. everyseason reserves the right to modify or supplement parts of the website or offers at any time. Minimum or maximum participant numbers and other restrictions (e.g., no dogs on hikes) may be defined at everyseason’s discretion.

(2.7) everyseason reserves the right to make short-term changes to offers and prices, as well as minor changes to service locations for factual reasons. Services may also be adjusted due to changes in applicable legal regulations. Participants will be informed promptly of any such (minor) changes, and no rights or claims arise therefrom.

(2.8) Descriptions, photographs, and illustrations on the website are for general informational purposes only and may differ from the actual execution, color, or design of the services offered. Their value remains unaffected.

(2.9) By clicking the “Purchase” button, you submit a binding order for the items in your shopping cart. Receipt and acceptance of your order are confirmed immediately via confirmation email, upon which the purchase contract is concluded.

3. PROVISIONS GOVERNING EVENTS AND THIRD-PARTY WORKSHOPS

(3.1) The services presented on the website do not constitute a binding offer to conclude a contract.

(3.2) Registration for an event or workshop is made through an online shop order and is binding. Registration for free Group Sports Events requires acceptance of these Terms and Conditions and acknowledgement of the Privacy Policy. When purchasing a ticket for a third-party workshop, the Participant additionally confirms acceptance of the Cooperation Partner’s Terms and Conditions. Registrations are processed in the order in which they are received and based on available workshop or course spaces.

(3.3) Participation is only possible after full payment of any applicable fees. Workshop places are only secured after the workshop fee has been paid. Participation in free Group Sports Events is confirmed upon receipt of a confirmation email.

(3.4) Participants must meet minimum personal requirements for participation (e.g., height, age, mental state, health, weight, driving license). These requirements are listed in the respective activity descriptions.

(3.5) Many events and workshops take place outdoors and are subject to weather conditions. If participation depends on specific weather conditions, this will be stated. Participants may need to obtain current weather information from the Cooperation Partner shortly before the event. If a workshop cannot take place due to weather, Participants will be informed promptly. everyseason is not liable for expenses or damages incurred due to postponement (e.g., travel, accommodation, leave).

(3.6) Travel to event locations and accommodation are not included unless explicitly stated. These costs must be borne by Participants.

(3.7) Participants must independently assess whether and to what extent they wish to participate in hands-on parts of events or workshops.

(3.8) everyseason regularly hosts services at third-party venues (e.g., show kitchens, clubs, exhibition grounds). Participants must comply with all house rules and treat provided equipment and premises with care. everyseason is neither a tour operator nor a travel agent.

(3.9) Cancellation of Third-Party Workshops: Tickets for third-party workshops may be cancelled free of charge up to 5 days before the workshop date. Later cancellations incur a 100% participation fee. Alternatively, a substitute participant may be designated. Cost reimbursement must be handled through the original purchaser; everyseason cannot process this. Cancellations or substitutions must be submitted via email to hello@everyseason.xyz and are only valid upon receipt of a confirmation email.

(3.10) Withdrawal for Good Cause: Notwithstanding statutory provisions, everyseason and Cooperation Partners may withdraw from services for good cause. Notice of withdrawal, schedule changes, or cancellations will be provided via email or phone as soon as possible. Good cause includes, but is not limited to:

(i) failure to reach the minimum number of participants,

(ii) illness of everyseason or Cooperation Partner staff,

(iii) accidents, regulatory restrictions (including COVID-19-related), or other significant reasons.

everyseason may also combine workshops, postpone dates, or cancel them entirely. If a workshop is cancelled, the fee will be refunded. Participants have no claim to alternative performance. Compensation for expenses resulting from cancellation is excluded.

(3.11) In case of no-shows, the full participation fee will be charged.

4. PRICES, VAT, AND PAYMENT

(4.1) Prices listed in the online shop apply. All prices include Austrian statutory VAT.

(4.2) Payment may be made using the payment methods provided on the website. Payment is due immediately upon acceptance of the order and may be made via credit card (VISA or Mastercard) or PayPal.

(4.3) For third-party workshops, the contract is concluded directly between the Participant and the Cooperation Partner. The Cooperation Partner will issue an invoice directly to the Participant via email.

(4.4) If a Participant fails to meet payment obligations or is in default, the Cooperation Partner may claim damages and/or withdraw from the contract in accordance with statutory provisions.

5. COPYRIGHT

(5.1) All content, images, graphics, and other works created by everyseason on this website are protected by Austrian copyright law. Any use or exploitation beyond personal use—particularly reproduction, distribution, translation, or transmission to third parties, whether in full or in part, or in modified form—is prohibited without written permission from the rights holder. Third-party content is marked as such.

(5.2) everyseason endeavours to avoid infringing third-party rights. If you become aware of a copyright infringement, please notify us. Upon becoming aware of such infringement, the content will be removed promptly.

6. AUDIO, PHOTO, AND VIDEO RECORDINGS

(6.1) Participants expressly consent to audio, photo, and video recordings being made during services, including for publication or promotional purposes. Recordings may be made by everyseason or by commissioned third parties and may be used in newsletters or on everyseason’s Instagram account. Participants grant everyseason an unrestricted, royalty-free, worldwide right to use such recordings in all known and unknown forms of use. Consent may be withdrawn at any time; recordings involving the withdrawing participant will then be removed. If you do not wish to be recorded, please inform us prior to the start of the service.

7. DISCLAIMER OF LIABILITY

(7.1) This disclaimer applies to all services and content provided by everyseason, including the website (www.everyseason.xyz), social media (www.instagram.com/everyseason.xyz), newsletters, all Group Sports Events, and third-party workshops.

(7.2) All content is created with the utmost care; however, no guarantee is provided for accuracy, completeness, or timeliness.

(7.3) By participating in a Group Sports Event or third-party workshop, the Participant confirms voluntary participation and acknowledges the inherent and other risks associated with the activities, including the risk of injury or death. Risks may include:

– natural hazards, animals, insects, parasites, diseases;

– uneven or steep terrain;

– water-related hazards;

– weather and temperature changes;

– risks posed by other participants;

– darkness or low visibility;

– exposure to infectious diseases (including COVID-19);

– risks associated with artificial structures, vehicles, equipment failure or misuse;

– delayed access to emergency services;

– risks associated with facilities such as studios, workshop spaces, campgrounds, retreat centers.

The Participant voluntarily assumes all such risks to the fullest extent permitted by law.

(7.4) In consideration of being permitted to participate, the Participant agrees to release, indemnify, and hold harmless everyseason and its successors, agents, directors, owners, employees, Cooperation Partners, contractors, volunteers, landowners, and affiliated companies from any and all claims, damages, legal actions, attorney fees, or costs arising from participation in the activities or use of facilities.

(7.5) The Participant understands that this waiver applies to all claims by the Participant, their child, or their legal representatives. Should a claim be filed, the Participant agrees to indemnify everyseason for all costs and damages arising therefrom. The Participant enters into this agreement voluntarily and acknowledges it is binding upon themselves, their children, heirs, beneficiaries, and legal representatives.

8. FINAL PROVISIONS

(8.1) Austrian law applies.

(8.2) The place of performance is the location of the respective service.

(8.3) In accordance with legal requirements, we inform you that the European Commission provides an online dispute resolution platform at https://ec.europa.eu/odr. Please note that we do not participate in this platform or in national alternative dispute resolution procedures (e.g., Internet Ombudsman).

(8.4) everyseason reserves the right to amend the website and these Terms and Conditions at any time. The Terms and Conditions in force at the time of your order apply unless an amendment is required by law or official order (in which case such amended Terms also apply to prior contracts).

(8.5) Should any provision of the contract or these Terms and Conditions be or become invalid or incomplete, such provision shall be replaced by a valid provision that most closely reflects its economic purpose. The validity of the remaining provisions shall remain unaffected.
